Terms of Use

Effective 7 October 2026 · version platform-terms-2026-10-07-v1

1. Who we are and what the service is

Handover is operated by LabEight Advisory LTD ("we", "us"). Handover helps business owners and their advisers prepare a business for sale: you upload financial and other documents, we analyse them, and we produce reports. If you choose, we can also present the business to prospective buyers.

By creating an account or using the service you agree to these terms. If you use it on behalf of a company, you confirm you have authority to do so.

2. Your account

Give us accurate details and keep your password secure. You are responsible for what happens under your account. Tell us promptly if you think it has been compromised.

3. Your information

You keep ownership of what you upload. You give us permission to store it and process it (including with automated and AI tools) only to provide the service to you, to keep it secure, and as the Privacy Notice describes.

You confirm you are entitled to upload it, including any personal data of employees, owners or customers it contains, and that you will not upload anything unlawful.

4. The analysis is not advice

Reports, valuations, adjustments and findings are produced with automated tools from the documents and figures you provide. They can contain errors and depend on the completeness of what you upload. They are not legal, tax, accounting, financial or investment advice, and not a formal valuation. Check anything important with your own professional advisers before relying on it.

Handover is an introducer and software provider. It is not a regulated broker, and it does not act as your fiduciary.

5. Showing a business to buyers

Nothing about your business is shown to any buyer unless you ask us to publish it and we approve it. Publishing is governed by a separate introducer agreement, signed for the company before a deal can be published, which sets out any success fee. Before a buyer has signed a confidentiality agreement they see only an anonymised summary.

6. Acceptable use

Do not misuse the service: no attempts to break or probe its security, no scraping, no uploading malware, no impersonating others, and no use that breaks the law or anyone's rights. We may suspend an account that does.

7. Availability and our responsibility

We work to keep the service running but do not promise it will be uninterrupted or error-free. We do not exclude liability that the law does not allow us to exclude. Otherwise, to the extent the law permits, we are not liable for indirect or consequential loss or for loss of profit, business or a sale, and our total liability to you is limited to the fees you have paid us in the 12 months before the claim.

8. Ending and changes

You can stop using the service and ask us to close your account at any time. Closing it does not cancel an introducer agreement already signed for a deal; that agreement says what happens next.

We may update these terms. We will record the version you accepted, and ask you to accept again where a change is material.

9. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
